The public holding company: the missing link.
Being public strengthens all four levers: access to capital, access to talent, opportunities to grow the businesses you buy, and the ability to find, structure and close acquisitions, while creating substantially more wealth than you could as a private company. We take you through the listing, by IPO, direct listing or reverse merger.
Transparency creates credibility. Credibility changes how everyone treats you.
| Who | Toward a private buyer | Toward a public holding company |
|---|---|---|
| Business brokers | Bring deals once you prove you can close | Bring their best deals first to a buyer with audited numbers and financing in place |
| Sellers | Want cash at closing and discount everything else | Take you seriously as a buyer and accept seller notes, earnouts and rollover equity more readily |
| Lenders and investors | Rely on personal guarantees and private diligence | Lend and invest against audited public numbers, in shares they can sell |
| Talent | See private options as a lottery ticket | Join for equity with a daily price |
| Partners and customers | Need persuading that you'll last | Can check your public filings |
We manage the listing process so you can focus on running the business.
We map the process and choose the route with you, bring in the auditors, securities counsel and other professionals, make the strategic decisions alongside you, manage every third party, and execute until the first day of trading.
Reverse merger
Merge into an existing public company. About six months, but the vehicle must be clean and its history fully checked.
Direct listing
Register your existing shares and list them, raising capital before or after. About ten months, and well suited to a holding company with a shareholder base.
IPO
New shares sold at listing. About six months, with the highest cost and requirements; best for larger platforms with institutional appeal.
The advantages start before your first acquisition.
You don't need to own a business to begin. Starting the process early means your first deal is structured with the end in mind, and the governance, audit-ready books, board and equity plan it requires make you a more credible buyer to sellers, lenders, investors and the people you want to hire, from the first conversation.
Not every holding company should be public. We'll tell you honestly.
A listing makes sense when the platform has real earnings or a clear path to them, books that an auditor can work with, a founder willing to report publicly, and a plan in which better access to capital, talent and opportunities would move the value meaningfully. If those aren't in place yet, the Holding Company Playbook shows what it would take, and the levers still work while you're private.
Fees are a monthly retainer plus equity, set in a proposal once we understand the route.
